Art. 1 — Who is selling
The seller is TRIS IN TRIS proizvodnja, oglaševanje in svetovanje d.o.o. (in short Tris in Tris d.o.o.), a company under Slovenian law, with registered office at Otiški vrh 54a, 2373 Šentjanž pri Dravogradu, Slovenia. Entered in the Slovenian business register (AJPES), registration number 5323797000, entry number 10148500. VAT number SI85623504. Share capital €13,771. Director: Tomaž Nabernik. Email: hello@italianabandiere.com. Telephone: +31 97 0065 30843.
"Italiana Bandiere" is the name under which we sell online; we produce and ship from our workshop in Slovenia.
These terms apply to orders placed on the websites italianabandiere.com, .it, .de, .fr, .es and .si. Words with a capital letter or in quotation marks are explained in Annex A. "Consumer" means a person who buys for purposes outside their own business; Art. 12 applies to those who buy for their own business.
Art. 2 — How an order is concluded
2.1 To order you need an account. If you do not have one, you enter your email and type the six-digit code we send you; if you already have one, you log in with your password.
2.2 You choose the product and the configuration. You see the final price and the delivery day before you pay.
2.3 On the Checkout page you check your details and can correct them before sending the order.
2.4 The final button says "Buy now": by pressing it you commit to paying.
2.5 The contract is concluded when you press "Buy now" and the payment is successful. Right afterwards we send you the order confirmation by email.
2.6 Before starting production we check the files and the payment. With a bank transfer, the check takes place when the money arrives.
2.7 The delivery day you see before paying is binding for us, if the payment arrives, and your file is approved when needed, on the day of the order before the cut-off time shown next to the day. If they arrive later, the day moves as explained in Art. 6.4: that is a delay on your side and you cannot cancel the order because of it.
2.8 Before starting production we check that the delivery day can be kept. If it is not possible for a reason that depends on us, we write to you with a new day. You have 3 calendar days, that is 72 hours, to choose. The new day is calculated at the moment you accept: if you wait, it moves accordingly, and you always see the updated day before you confirm. If you accept, that day becomes the promised day. If you refuse or do not reply within 72 hours, we cancel the order and refund you in full.
2.9 The order and these terms remain archived: you find the order in My account → Orders and you can save or print these terms. For each order, the terms in force on the day you placed it apply.
2.10 You can order and write to us in Italian, English, French, German, Spanish and Slovenian.
Art. 3 — Products, files and approval
3.1 Every flag is made after your order, according to the configuration you chose.
3.2 If you send us a file, we check it. If needed, a graphic designer prepares a free draft with the material you send us: they do not retouch or redraw it. The time to prepare the draft depends on our designers' workload, usually up to 24 hours. A delay in the draft does not give rise to any liability on our part: the delivery day is recalculated from when you confirm it.
3.3 The draft appears in My Print Jobs with the buttons "Approve draft" and "Request changes". You can request changes as many times as you like. Nothing is printed before you approve.
3.4 Approval is final: afterwards the job goes into production and can no longer be changed.
3.5 You warrant that you have the right to use the designs, trademarks, texts and photos you send us, and you authorise us to reproduce them only for your order. We may refuse files that are unlawful or that infringe the rights of others; in that case we refund what you paid for that order.
Art. 4 — Prices, VAT and shipping
4.1 Prices are in euros. For consumers the price shown includes the VAT of the country of delivery.
4.2 If you buy for your business with a valid VAT number from another EU country (checked in the VIES register) and delivery is outside Slovenia, we do not charge you VAT: it is a reverse charge. VAT is due by you, in your country, as an intra-Community acquisition. You declare that the VAT number is yours and that you act as a taxable person. If the VAT number is not valid, we cannot apply the exemption and we charge VAT. With a Slovenian VAT number or delivery in Slovenia: Slovenian VAT.
4.3 Shipping is calculated by country and postcode and shown before the order. We do not charge any further costs without your express consent.
4.4 Quantity discounts are shown on the product page.
Art. 5 — Payment and refunds
5.1 You pay on the Checkout page, when you place the order: card (processed by Stripe), PayPal, Apple Pay, Google Pay, iDEAL, Przelewy 24, bank transfer, My Wallet.
5.2 With a bank transfer, you receive the bank details after the order. For production to start, the transfer must have arrived and been notified to us by the bank. The notification usually arrives after the production day has begun: for this reason the calculation takes as the first production day the one following the day the transfer is credited. An order not paid within seven days is cancelled.
5.3 We do not accept cash on delivery, cheques, purchase orders or deferred payments.
5.4 Every refund goes back by the same means of payment you used, at no cost to you. With card, PayPal, Apple Pay and Google Pay the refund is automatic. If you paid by bank transfer, we ask you to confirm the IBAN of the account you paid from, and we refund there. Where these terms provide for it, you can choose My Wallet instead of the refund.
Art. 6 — Delivery
6.1 We deliver to the 27 countries of the European Union, excluding territories outside the EU customs area (Canary Islands, Ceuta, Melilla, Livigno, Campione d'Italia, Åland Islands, Heligoland, Büsingen, French overseas departments, Mount Athos). We do not deliver outside the Union.
6.2 We ship from Slovenia with UPS. Any customs charges are not included in the price.
6.3 The delivery day, written before payment, is the day on which the carrier makes the first delivery attempt. A first attempt that finds nobody, or with an incomplete address, counts as delivery on time.
6.4 The promised day applies if the payment arrives, and your file is approved when needed, on the day of the order before the cut-off time shown next to the day. If they arrive later, the delivery day moves by the same number of working days, not counting those on which we are closed, and we immediately write to you with the new day. A change of day that depends on us applies only if you accept it, as in Art. 2.8.
6.5 If we are late on the promised day (the one written at Checkout or, if you accepted it, the new one), we pay without you having to ask. With Express we refund the whole order, products included, by the same means of payment you used; if you paid by bank transfer, we ask for your IBAN. The products remain yours. With Standard or Economy we credit 10% of the order total to My Wallet.
6.6 Your legal right remains: if we do not deliver within the agreed time you can give us an additional period and, if we do not deliver even then, terminate the contract and get back what you paid.
6.7 Until you receive the parcel, the risk of loss or damage is ours. Check the parcel on delivery and, if it is damaged, write to us immediately with a photo.
Art. 7 — Right of withdrawal (consumers)
7.1 You can withdraw from the contract within 14 days of the day you receive the goods, without giving a reason. If you ordered several products in a single order, the 14 days start from when you receive the last one.
7.2 To withdraw, use the form in your account: My account → Returns and warranty → "Withdraw from contract here", then "Confirm withdrawal". We confirm receipt by email without delay.
7.3 There is no withdrawal for personalised flags, that is, made with your design, text or logo: they are produced to your precise instructions and adapted to your needs. Promotional flags (beach flags, banners and the like) are also always personalised. Pole and base, which are accessories, can be returned.
7.4 For catalogue flags and accessories there is a right of withdrawal, even if we made them to order: a flag configured by choosing among standard sizes, materials and finishes is a catalogue flag.
7.5 As a condition more favourable than the one required by law, for catalogue flags and accessories you have 60 days from delivery. From the 15th to the 60th day the same steps apply, with the refund described in point 7.8. We may remove the days from the 15th to the 60th for anyone who opens a dispute with the payment provider (bank, card, PayPal, Stripe) before having discussed it with us, or an unfounded delivery complaint; never the 14 days required by law.
7.6 After withdrawing, send the goods back within 14 days of the day you told us; it is enough to ship them within that period. We reply with the return address. The direct costs of returning are at your expense: use a tracked service. The goods must come back in the condition in which you received them: unused, in the original packaging, with the labels. You are liable only for any diminished value resulting from handling other than what is necessary to establish the nature, characteristics and functioning of the goods.
7.7 We do not offer exchanges: you choose between a refund and My Wallet.
7.8 We refund everything you paid, outbound shipping included, without delay and in any case within 14 days of the day we receive your notice of withdrawal. We do not refund the extra cost of a shipping method other than the cheapest of the standard ones we offer. We may withhold the refund until we receive the goods or you show us proof of shipment, if that comes first. We refund as in Art. 5.4, unless you choose My Wallet, which is faster: it is credited automatically in 2–3 days. For a withdrawal between the 15th and the 60th day we refund within 30 days. If the parcel arrives empty or with goods different from those delivered, the refund is not due; if we have already made it, we ask you to return it.
Art. 8 — Legal guarantee of conformity (consumers)
8.1 We are liable for any lack of conformity that exists at delivery and becomes apparent within two years of delivery. A defect that appears within one year is presumed to have existed at delivery, unless proven otherwise or unless the nature of the product or of the defect rules it out.
8.2 If the flag or accessory is defective or different from the one ordered, personalised flags included, you can ask us to repair or replace it free of charge, shipping included. We do it within a reasonable time, at most 30 days. If more time is needed, we may extend it by at most 15 days and we explain the reason to you.
8.3 If we neither repair nor replace, or if the defect is serious, you can ask for a proportionate reduction of the price or terminate the contract and get back what you paid. If the defect appears within 30 days of delivery you can terminate immediately. We refund within 8 days of the day we receive the goods or proof of shipment, if that comes first. If the parcel arrives empty or with goods different from those delivered, the refund is not due; if we have already made it, we ask you to return it.
8.4 How to proceed: open a request in My account → Returns and warranty → "Report a problem": choose the order and the product, tell us what happened and attach photos. We ask you to report the defect within two months of when you discover it; where the law of your country does not provide for this period, you do not lose your rights by exceeding it. If we dispute the defect, we reply to you in writing within 8 days of the request. If we need to examine the product, we send you a prepaid label.
8.5 Normal wear due to use and to the weather is not a defect. For the rest, including the durability you can reasonably expect from a flag of this type, the law decides.
8.6 Every flag carries a printed batch code: it allows us to trace how it was made.
8.7 The "24 months of guarantee" stated on the product pages are, for consumers, the legal guarantee, which always applies. For businesses the conditions of Art. 12.1 apply.
8.8 No clause of these terms limits your legal rights.
Art. 9 — Changing or cancelling an order
9.1 Not yet paid: do not pay it and place a new order; we cancel the old one.
9.2 Paid, but file not yet sent: you can cancel it and we refund you in full.
9.3 File approved or order in production: it can no longer be changed. Your rights of withdrawal and guarantee remain.
9.4 Write to us immediately from My account → Support with the order number. Confirmation always comes by email: an order cannot be changed by phone or in chat.
Art. 10 — Complaints and disputes
10.1 Write to us at hello@italianabandiere.com or from My account → Support. We usually reply within 4 hours; in any case within 8 working days.
10.2 We have not committed to using an out-of-court dispute resolution body for consumer disputes: these are bodies, public or private, that help settle a dispute without going to court. If you wish, you can contact the European Consumer Centre of your country, which also helps with disputes with sellers from other countries.
Art. 11 — Applicable law and competent court
11.1 These terms are governed by Slovenian law. If you are a consumer and live in another EU country, you do not lose the protection of the rules of your country from which the law does not allow derogation.
11.2 You can bring proceedings against us before the Slovenian courts or before the courts of the place where you live. We bring proceedings against you only before the courts of the place where you live.
Art. 12 — If you buy for your business
12.1 The consumer rights of withdrawal and guarantee (Art. 7 and 8) do not apply. The rules on sales between businesses of the Slovenian Code of Obligations apply: you report the defect within 8 days of when you discover it. We guarantee the products for 24 months from delivery, provided that no dispute with the payment provider (bank, card, PayPal, Stripe) has been opened beforehand.
12.2 The invoice shows the details you enter and confirm at the time of the order and they cannot be changed.
Art. 13 — Resellers, contributors and affiliates
Separate conditions apply to these programmes, which you accept when you apply.
Art. 14 — Personal data and cookies
How we use your data is explained in the Privacy Policy and in the Cookie Policy.
Art. 15 — Website content
Texts, images and graphics of the website are ours or used under licence and are protected by law: you may not reproduce them without our consent. Third-party trademarks and logos, such as those of PayPal, Stripe and the other payment services, belong to their owners and we show them only to indicate the services you can use.
Art. 16 — Changes and languages
16.1 We may change these terms; the changes apply to orders placed after publication.
16.2 The terms exist in the six languages of the website. If two versions say different things, the one in the language of the website on which you ordered prevails.
16.3 If a clause were found to be void, the others remain valid.
